We are seeking a highly skilled and experienced Indian law qualified corporate lawyer to join our legal team. The ideal candidate will come with at least 5-8 PQE with a strong background in private equity, mergers and acquisitions, structuring of entities from a regulatory standpoint, and corporate advisory.

Responsibilities :

• Provide legal advice and support in the areas of private equity, mergers and acquisitions, and structuring.
• Advise on legal and regulatory aspects related to the structuring of entities and assist in structuring and negotiating complex transactions, ensuring compliance with regulatory requirements and best practices.
• Conduct legal due diligence, draft and review transactional documents, including investment agreements, shareholder agreements, and disclosure documents for potential mergers, acquisitions, investment opportunities and fundraising.
• Interpret and analyse RBI and SEBI regulations and guidelines to ensure in structuring transactions legally.
• Provide advisory on various aspects on law relating to the day to day affairs of the company
• Liaise with internal stakeholders, including senior management and other departments, to provide legal guidance on business decisions and strategic initiatives.
• Stay updated on relevant legal developments, new regulations, and case law affecting private equity, mergers and acquisitions, and regulatory aspects.
• Manage and coordinate with external legal counsel, as required, for complex legal matters and transactional support.
• Collaborate with cross-functional teams, such as finance, compliance, and tax, to ensure legal compliance and seamless execution of transactions.
• Represent the company in negotiations, meetings, and discussions with external parties, including clients, regulatory authorities, and other legal professionals.
